Terms of Service
Welcome to LedgerlyEXP (“LedgerlyEXP,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern access to and use of the LedgerlyEXP website, application, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. About LedgerlyEXP
LedgerlyEXP is a software platform designed to help organizations and their users create, upload, categorize, track, submit, review, approve, reject, and retain business expense reports and related records.
The Service is an organizational and informational tool. Unless a separate written agreement expressly states otherwise, we are not an accounting firm, tax preparer, financial advisor, law firm, or bookkeeping service. Information provided through the Service is not legal, tax, accounting, investment, or financial advice.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter a binding agreement. You must provide accurate information and keep it current. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly if you suspect unauthorized access.
Organization administrators control membership, roles, approval rules, and access within their organization. Users must follow their organization’s policies in addition to these Terms.
3. Your content and financial information
You may provide expense records, transaction information, receipts, invoices, mileage, descriptions, approval decisions, and other business documents (“User Content”). You retain ownership of User Content and grant us a limited right to host, process, reproduce, and display it only as needed to operate, secure, support, and improve the Service.
You represent that you have the rights and permissions necessary to submit User Content and that it is accurate to the best of your knowledge.
4. Automated processing
The Service may use automated features to organize, categorize, summarize, or extract information. Automated results may be incomplete or inaccurate. You are responsible for reviewing records and reports before relying on them.
5. No professional advice
You remain responsible for tax filings, reimbursement decisions, accounting treatment, audits, record-retention obligations, and compliance with applicable law and organization policy. Consult qualified professionals when needed.
6. Acceptable use
You may not use the Service to violate law; infringe rights; submit malicious code; gain unauthorized access; bypass limits; disrupt operations; misrepresent identity or transactions; upload unlawful or fraudulent content; or reverse engineer the Service except where law permits. We may investigate and restrict misuse.
7. Subscriptions, billing, and cancellation
Paid plans are billed in advance on a recurring basis at the price and interval shown at checkout. Available monthly plans currently include 20 submitted expense reports for $20, 40 submitted expense reports for $30, or 75 submitted expense reports for $50, unless a different written offer applies. Taxes may apply. Stripe processes payments; we do not directly collect full card details.
Subscriptions renew automatically until canceled. Cancellation stops future renewal and normally takes effect at the end of the current paid period. Except where required by law or expressly stated, fees are nonrefundable. We may change future pricing with advance notice.
8. Privacy and security
Our Privacy Policy explains our information practices. We use reasonable administrative, technical, and organizational safeguards, but no system is completely secure. You are responsible for appropriate device, network, and credential security.
9. Third-party services
The Service may interoperate with third parties, including payment, hosting, email, storage, or analytics providers. Their terms and privacy practices govern their services. We are not responsible for third-party services outside our control.
10. Availability and changes
We may maintain, modify, suspend, or discontinue features. We do not guarantee uninterrupted or error-free operation. We will use reasonable efforts to provide notice of material changes when practical.
11. Retention and exports
Retention depends on account status, organization settings, operational needs, and legal obligations. Organization administrators are responsible for exporting records they must keep before canceling access. We may delete data after termination, subject to law and our Privacy Policy.
12. Intellectual property
The Service, including its software, design, trademarks, and documentation, belongs to us or our licensors and is protected by law. These Terms grant only a limited, nonexclusive, nontransferable, revocable right to use the Service as intended.
13. Disclaimer of warranties
To the fullest extent allowed by law, the Service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted operation.
14. Limitation of liability
To the fullest extent allowed by law, LedgerlyEXP and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our aggregate liability relating to the Service will not exceed the amount you paid us during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some terms may not apply.
15. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, unlawful or risky use, nonpayment, or threats to the Service or others. Provisions that by their nature should survive termination will survive.
16. Changes to these Terms
We may update these Terms. We will post the revised date and, for material changes, provide reasonable notice. Continued use after an update becomes effective constitutes acceptance where permitted by law.
17. Governing law
Unless applicable law requires otherwise, these Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute must be brought in a court of competent jurisdiction in Ohio.
